Article 1 (Purpose)
These Terms establish the basic rights and obligations, dues, activity operations, disciplinary measures, and dispute-handling rules applicable to persons participating as members of the organization whose official Korean name is “국제교류학생연합회,” whose registered official English name is “ISA Korea,” and whose public-facing brand name and short form are “국제교류학생연합회 ISA Korea” (the “Association”).
Article 2 (Definitions)
1.
“Member” means a person who supports the purposes of the Association and has joined after completing the recruitment and selection procedures established by the Association, including submission of an application and an interview.
2.
“Headquarters” means the central organization of the Association.
3.
“Branch” means an organization of the Association established on a regional basis.
4.
“Club” means a subdivision organized by school or field within a Branch or with the approval of Headquarters.
Article 3 (Admission and Membership Status)
1.
Members shall be selected, in accordance with procedures established by the Association, from among persons who are interested in international exchange and support the purposes of the Association.
2.
Upon joining, each Member shall agree to comply with the Articles of Association, applicable policies and regulations, and these Terms.
3.
Where operationally necessary, the Association may give advance notice of its recruitment procedures and selection criteria, including document screening, interviews, and additional assessments.
Article 4 (Rights of Members)
Each Member has the following rights:
1.
The right to participate in the programs and activities of the Association
2.
The right to attend the General Meeting, express opinions, and participate in voting to the extent and subject to the eligibility requirements established by the Articles of Association
3.
The right to request documents and information within the scope announced under the Articles of Association and applicable policies
Article 5 (Obligations of Members)
Each Member has the following obligations:
1.
To comply with and carry out the Articles of Association, applicable policies and regulations, and lawful resolutions of the General Meeting and the Operating Committee
2.
To refrain from damaging the reputation of the Association and to cooperate in achieving its purposes
3.
To pay the prescribed enrollment fee and regular dues and to participate diligently in the activities of the Association
Article 6 (Dues and Refunds)
1.
Members shall pay the enrollment fee and regular dues. The specific amount, payment method, and payment deadline shall be governed by advance notice issued by Headquarters or the Member’s Branch.
2.
Each Branch shall remit 20% of the total dues collected by that Branch to Headquarters. The remitted amount shall become part of the operating funds of Headquarters.
3.
All refunds relating to enrollment fees, regular dues, event participation fees, and any other payments shall be governed by the separately published “ISA Dues and Refund Policy.” The ISA Dues and Refund Policy prevails over these Terms, the ISA Event Participation Terms, and individual notices with respect to refund eligibility, refund percentages, and the calculation of refund amounts.
4.
If costs already incurred or irrevocably committed for a particular event may be excluded from a refund, such exclusion may be applied only to the extent permitted by the ISA Dues and Refund Policy and applicable law. Before an application or payment is made, the Association shall clearly disclose the relevant cost items and amounts or the method used to calculate them. Where separate consent is required by applicable law, the Association shall obtain that consent.
5.
An individual event notice may establish detailed refund procedures or event-specific details only within the scope expressly delegated by the ISA Dues and Refund Policy. If an individual notice conflicts with the ISA Dues and Refund Policy, the ISA Dues and Refund Policy prevails.
Article 7 (Operation of Activities and Rules of Conduct)
1.
Members shall cooperate with reasonable instructions provided by staff or organizers for the orderly operation, safety, and proper management of programs.
2.
During Association activities, Members shall not engage in defamation, discrimination, harassment, sexual harassment, violence, unlawful conduct, or any other conduct that harms the safety of the community or the reputation of the Association.
3.
A Member may not use the Association’s name, logo, titles, or other identifiers for commercial or political purposes or for personal promotion without prior approval from the Association.
4.
The Association operates as a nonprofit organization and does not distribute operating profits to Members.
Article 8 (Personal Information and Image Rights)
1.
The Association may collect and use the minimum personal information necessary for Member recruitment, membership administration, notices, and event operations in accordance with applicable law.
2.
A Member may separately consent to the use of photographs or videos taken during Association activities for promotional purposes, including posters, social media, the Association’s website, and press materials. The specific media, scope of use, retention period, and procedure for withdrawing consent shall be explained in a separate consent form or advance notice.
3.
As a general rule, the Association does not request sensitive information. If sensitive information must be processed for operational purposes, the Association shall separately explain the purpose and categories of processing and obtain any consent required under applicable law.
Article 9 (Loss of Membership and Disciplinary Measures)
1.
A Member loses membership status upon the occurrence of any of the following:
1.
The Member voluntarily requests withdrawal
2.
The Member dies
3.
Expulsion is decided through the prescribed procedures because the Member has acted contrary to the purposes of the Association or has seriously damaged its reputation
2.
Depending on the seriousness of the matter, disciplinary measures may include a warning, restriction of activities, removal from office, or expulsion.
3.
Serious disciplinary measures, including expulsion, shall be handled through a fair procedure that includes verification of the relevant facts and an opportunity for the Member to provide an explanation. The matter shall be reviewed by the Operating Committee, and approval of the General Meeting shall be obtained where required by the Articles of Association or applicable policies.
Article 10 (Protection of Internal Information and Measures for Violations)
1.
A Member shall not disclose to any external party or provide to a third party, without prior approval from the Association, any non-public internal information of the Association, Headquarters, a Branch, or a Club, including meeting discussions, Member lists, financial records, unpublished project plans, and internal notices.
2.
Unauthorized disclosure of internal information may be treated as a serious violation. Depending on the seriousness of the matter, the Association may, following review by the Operating Committee, impose disciplinary measures including termination of Club participation, suspension of membership, or expulsion.
3.
The fact-finding and explanation procedures under Article 9(3) apply to disciplinary measures imposed under this Article.
Article 11 (General Meeting and Voting)
1.
The General Meeting is the highest decision-making body of the Association and consists of all Regular Members.
2.
As a general rule, notice of the date, place, and agenda of a General Meeting shall be given in writing or electronically at least seven days before the meeting.
3.
The quorum, voting procedures, and operation of a General Meeting through electronic means shall be governed by the standards and procedures established in the Articles of Association.
Article 12 (Accounting and Public Disclosure)
1.
The fiscal year of the Association runs from January 1 through December 31 of each year.
2.
Headquarters and each Branch shall maintain separate accounts. Budgets and financial statements shall undergo the audit and General Meeting approval procedures prescribed by the Articles of Association.
3.
The Association shall disclose the amount of donations collected and records of their use by March 31 following the end of each fiscal year in the manner prescribed by the Articles of Association.
Article 13 (Safety and Liability)
1.
The Association shall exercise reasonable care when planning and operating international exchange programs and other activities. Its services and activities, however, are operated within the scope that the Association can reasonably provide.
2.
To the extent permitted by applicable law, the Association is not liable for accidents, injuries, losses, or other damage arising in the course of operations conducted by third-party institutions, transportation providers, accommodation facilities, event venues, or external partner organizations, unless the damage resulted from the Association’s intentional misconduct or gross negligence.
3.
To the extent permitted by applicable law, the Association is not liable for damage caused by a Member’s own negligence, violation of rules, or independent decisions.
4.
To the extent permitted by applicable law, the Association is not liable for indirect, incidental, or consequential damages.
5.
Nothing in this Article shall be interpreted as excluding liability arising from the Association’s intentional misconduct or negligence, or any liability that cannot be limited or excluded under applicable law.
Article 14 (Amendment of These Terms)
1.
These Terms may be amended pursuant to the Articles of Association and a lawful resolution of the Operating Committee. The Association shall notify Members of the amended provisions and their effective date without undue delay in a manner that allows Members to review them.
2.
The amended Terms apply from the announced effective date. However, where applicable law requires separate consent, or where an amendment materially affects the rights or obligations of Members, the procedures required by applicable law shall be followed.
Article 15 (Order of Application and Interpretation)
1.
If documents governing the relationship between the Association and a Member conflict or are interpreted differently, they shall apply in the following order:
1.
Applicable laws
2.
The Articles of Association
3.
The ISA Dues and Refund Policy
4.
These Member Terms and the ISA Event Participation Terms
5.
An individual recruitment, event, or program notice
2.
These Member Terms and the ISA Event Participation Terms have equal priority. These Member Terms govern membership status, the general rights and obligations of Members, and general membership activities. The ISA Event Participation Terms govern the operation of, participation in, and safety requirements for a specific event.
3.
The ISA Dues and Refund Policy prevails with respect to all refunds of enrollment fees, regular dues, event participation fees, and any other payments.
4.
An individual notice may establish detailed matters only within the scope expressly delegated by a higher-ranking document and may not establish provisions that conflict with a higher-ranking document.
5.
Matters not addressed in these Terms shall be governed by applicable law, the Articles of Association, lawful resolutions of the General Meeting or the Operating Committee adopted under the Articles of Association, and generally accepted practices.
6.
The Language Notice at the beginning of this document governs the relationship between and interpretation of the Korean and English versions.
